Terms of Service – Limitation of Liability Clause

1.1 Versant Online Solutions Private Limited (“FundVault,” “we,” “us,” or “our”) expressly disclaims any and all responsibility, liability, or guarantee, whether express, implied, statutory, or otherwise, that:

• (a) any Founder utilizing the Platform will secure capital, funding, or investment;
• (b) any Investor utilizing the Platform will discover, identify, or consummate any transaction; or
• (c) any fundraising or investment process facilitated through the Platform will achieve a successful outcome.

2.1 Users acknowledge and agree that FundVault provides only a neutral document management and organizational interface.

2.2 Any checklists, reports, summaries, or due diligence tools provided within the Platform (“Analytical Outputs”) are automatically generated, informational in nature, and do not constitute verification, certification, or endorsement of any information uploaded by users.

2.3 Users assume exclusive responsibility for independently verifying the sufficiency, accuracy, legality, and completeness of all documents, data, and information exchanged through the Platform.

3.1 To the fullest extent permitted by applicable law, FundVault shall not be liable to any Founder, Investor, or third party for any damages of any kind, including but not limited to:

• direct, indirect, incidental, consequential, special, exemplary, or punitive damages;
• loss of profits, anticipated savings, goodwill, data, or business opportunities;
• reliance on Analytical Outputs, fundraising results, or investment actions.

3.2 Users irrevocably waive any and all claims against FundVault, its affiliates, directors, officers, employees, or licensors arising from or related to:

• (a) unsuccessful fundraising efforts;
• (b) incomplete or inaccurate due diligence; or
• (c) reliance on or use of the Platform in connection with financial, legal, or business transactions.
