Privacy Policy & Limitation of Liability

1. Nature of Services

Versant Online Solutions Private Limited (“FundVault,” “we,” “us,” or “our”) operates the FundVault platform (“Platform”) to provide digital infrastructure for the organization, storage, and facilitation of corporate documents and fundraising workflows between startup entities (“Founders”) and investors (“Investors”).

  • 1.1 FundVault solely provides an online document management and data room facilitation tool intended for informational, organizational, and convenience purposes.
  • 1.2 FundVault does not, under any circumstances, act as a financial advisor, broker-dealer, investment bank, underwriter, or fiduciary.
  • 1.3 The Platform is not a substitute for professional legal, financial, or investment due diligence.

2. Disclaimer of Fundraising Success

FundVault expressly disclaims any representation, warranty, or guarantee—express, implied, statutory, or otherwise—that use of the Platform will result in successful fundraising, investor commitments, or the closing of any transaction.

  • 2.1 FundVault expressly disclaims any representation, warranty, or guarantee—express, implied, statutory, or otherwise—that use of the Platform will result in:
    • (a) successful fundraising by any Founder;
    • (b) investment commitments by any Investor; or
    • (c) closing of any transaction of any kind.
  • 2.2 Users acknowledge and agree that FundVault shall bear no liability, obligation, or responsibility for the outcome of any fundraising or investment activity.

3. Disclaimer of Due Diligence Accuracy

FundVault may provide automated tools, checklists, or reports (“Due Diligence Outputs”). Such Outputs are algorithmically or procedurally generated based on the information uploaded or inputted by users.

  • 3.2 FundVault does not warrant, verify, or certify the accuracy, completeness, or sufficiency of any Due Diligence Outputs.
  • 3.3 All reliance on Due Diligence Outputs is strictly at the sole risk of the user, and FundVault disclaims all liability for any errors, omissions, misstatements, or insufficiencies therein.

4. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FundVault, its affiliates, directors, officers, employees, agents, licensors, or service providers be liable for:

  • (a) any direct, indirect, incidental, consequential, punitive, special, or exemplary damages arising out of or related to the use of the Platform;
  • (b) any loss of profits, revenue, goodwill, data, or business opportunities; or
  • (c) any reliance placed upon Due Diligence Outputs, fundraising outcomes, or investor actions.

4.2 Users irrevocably waive any claim against FundVault related to fundraising results, due diligence accuracy, or investment decision-making.

5. User Responsibility

Users acknowledge that they are solely and exclusively responsible for conducting independent due diligence and for verifying documents and decisions made using the Platform.

  • 5.1(a) conducting independent financial, legal, and business due diligence;
  • 5.1(b) verifying the completeness and accuracy of all documents shared through the Platform; and
  • 5.1(c) making all final investment or fundraising decisions.

5.2 Use of the Platform constitutes acknowledgment that FundVault is a neutral technology service provider with no liability for transactional outcomes.

6. Governing Law & Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of Hyderabad, India, without regard to its conflict of law provisions. Exclusive jurisdiction and venue for any disputes shall rest with the competent courts of Hyderabad, India.

By accessing or using the Platform, all users expressly acknowledge, understand, and agree to the foregoing terms.
